1. Acceptance of Terms

By accessing or using the Solar Industry Roast website ("the Platform"), operated by Heritage Capital Collective LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

We reserve the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the revised Terms. We will make reasonable efforts to notify users of material changes.

2. Description of Service

The Solar Industry Roast is a satirical consumer advocacy platform that uses humor, parody, and community-driven commentary to spotlight systemic issues in the residential solar energy industry. The Platform allows users to submit, view, vote on, and share satirical content related to the solar industry.

The Platform also integrates with third-party social media services, including TikTok, for the purpose of distributing approved content. Use of these integrations is subject to the respective third-party platform's terms of service.

3. User Accounts & Authentication

Certain features of the Platform require authentication. We use third-party OAuth providers for user authentication. By creating an account, you agree to provide accurate information and maintain the security of your login credentials.

You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

4. User-Generated Content

By submitting content to the Platform ("User Content"), you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with the Platform and our social media distribution channels, including but not limited to TikTok, Instagram, X (Twitter), Facebook, and YouTube.

You represent and warrant that: (a) you own or have the necessary rights to submit the User Content; (b) the User Content does not infringe any third party's intellectual property rights, privacy rights, or other legal rights; and (c) the User Content complies with our Community Standards and Site Rules.

We reserve the right to remove any User Content that violates these Terms or our Community Standards, at our sole discretion and without prior notice.

5. Social Media Integration & TikTok

The Platform integrates with TikTok's Content Posting API to distribute approved satirical content. When content is posted to TikTok through our Platform:

• The content is reviewed and approved by our editorial team before distribution.

• Posts are made from the Platform's official TikTok account, not from individual user accounts.

• Content is formatted and adapted for TikTok's platform requirements, including caption length limits and hashtag formatting.

• Users whose content is selected for TikTok distribution will be credited in the post caption where applicable.

By submitting content to the Platform, you acknowledge and consent to the potential distribution of your content via TikTok and other social media platforms as described in Section 4.

6. Prohibited Uses

You agree not to use the Platform to: (a) violate any applicable law or regulation; (b) submit false, misleading, or defamatory content; (c) harass, threaten, or intimidate any person; (d) impersonate any person or entity; (e) distribute spam, malware, or other harmful content; (f) attempt to gain unauthorized access to the Platform or its systems; (g) interfere with the Platform's operation or other users' experience; or (h) engage in any activity that violates our Community Standards.

Violation of these prohibitions may result in immediate account termination and, where appropriate, referral to law enforcement.

7. Intellectual Property

The Platform, including its design, logos, text, graphics, and software, is owned by Heritage Capital Collective LLC and is protected by copyright, trademark, and other intellectual property laws. The "Solar Industry Roast," "Sir Flame," and "Gary the Gecko" names and logos are trademarks of Heritage Capital Collective LLC.

You may not copy, modify, distribute, or create derivative works from any part of the Platform without our prior written consent, except as expressly permitted by these Terms.

8. Disclaimers & Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Content on the Platform is satirical in nature and should not be interpreted as professional advice, statements of verified fact, or endorsements. Users should conduct their own research before making decisions based on content found on the Platform.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Heritage Capital Collective LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third party's rights.

10. Termination

We may terminate or suspend your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Sections 4, 7, 8, 9, and 11 survive termination.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Florida.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against us.
